These Terms of Service ("Terms") govern your access to and use of the website located at www.xhanaero.com (the "Site") and any quotations, orders, or transactions for packaging products and related services (collectively, the "Services") supplied by Guangdong Xinghan Industrial Co., Ltd. ("Company", "we", "us" or "our"), operating the brand XHANCO AERO. By accessing the Site, requesting a quotation, or placing an order, you ("Buyer", "you") agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.

1. Company Information

Guangdong Xinghan Industrial Co., Ltd. is a manufacturer of foodservice, airline catering, retail and biodegradable packaging, established in 2017. Our operations are supported by a manufacturing base of approximately 17,150 m² and a quality management system certified to ISO 9001 and ISO 14001 standards. 2. Quotations and Orders

2.1 All quotations issued by the Company are valid for thirty (30) days from the date of issue unless otherwise stated, and are subject to confirmation of raw material pricing and production capacity.

2.2 An order is only binding once the Company has issued a written Order Confirmation and, where required, the Buyer has paid the agreed deposit.

2.3 Custom (OEM/ODM) products are produced to the Buyer’s approved artwork and specification. The Buyer is responsible for ensuring that all artwork, trademarks, logos and designs supplied to the Company are lawful and do not infringe the intellectual property rights of any third party.

2.4 The Buyer shall approve the pre-production sample or digital proof before mass production commences. Approval of the sample constitutes acceptance of the specification, colour and dimension tolerances of the delivered goods.

3. Prices, Payment and Taxes

3.1 Prices are quoted in the currency stated on the quotation (typically USD) and do not include taxes, duties or customs charges unless expressly stated.

3.2 Unless otherwise agreed in writing, payment terms are 30% deposit on order confirmation and the balance against a copy of the Bill of Lading prior to release of the shipping documents.

3.3 The Company reserves the right to suspend production or shipment where payment is overdue.

4. Packaging, Delivery and Risk

4.1 Delivery terms are governed by the Incoterms® rule specified in the Order Confirmation (commonly FOB, CFR or CIF). Where no rule is agreed, delivery shall be deemed FOB a Chinese port of loading.

4.2 Risk of loss or damage to the goods passes to the Buyer in accordance with the agreed Incoterm. Any claim for shortage or visible damage must be notified to the Company in writing within seven (7) days of receipt of the goods.

4.3 Delivery dates are estimates given in good faith. The Company shall not be liable for delay caused by events beyond its reasonable control, including but not limited to force majeure, raw material shortages, port congestion, customs inspections or carrier delays.

5. Quality, Warranty and Claims

5.1 The Company warrants that the products supplied conform in all material respects to the agreed specification and to the applicable food-contact and hygiene regulations in force at the time of manufacture.

5.2 Warranty claims must be submitted in writing within thirty (30) days of receipt of the goods and supported by photographs, batch codes and sampling data. Where a valid claim is accepted, the Company’s sole obligation shall be, at its option, to replace the defective goods or to credit the Buyer for the affected quantity.

5.3 The Company shall not be liable for defects arising from artwork errors approved by the Buyer, improper storage or handling after delivery, or normal wear and tear.

6. Intellectual Property

6.1 All intellectual property rights in the Site, its content, product photographs, and the XHANCO AERO name and logo remain the property of the Company.

6.2 The Buyer grants the Company a non-exclusive licence to use the Buyer’s trademarks and artwork solely for the purpose of manufacturing and delivering the ordered products.

6.3 Tooling, moulds and printing plates produced specifically for the Buyer remain the property of the Company unless otherwise agreed in writing.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company’s total aggregate liability arising out of or in connection with any order shall not exceed the total value of that order. The Company shall not be liable for indirect, incidental, special or consequential losses, including loss of profit, loss of goodwill or business interruption.

8. Compliance and Sustainability

8.1 The Company maintains documented quality, environmental and food-safety management systems and can provide declarations of conformity, material safety data sheets and certificates on request.

8.2 Biodegradable and compostable product ranges are supplied with the relevant certification documentation for the declared material composition. The Buyer is responsible for verifying that the products meet the regulatory requirements of the destination market.

9. Confidentiality

Each party shall keep confidential all technical, commercial and pricing information disclosed by the other party in connection with an order and shall not disclose such information to any third party without prior written consent.

10. Termination

The Company may suspend or terminate the supply of Services with immediate effect if the Buyer breaches these Terms, becomes insolvent, or fails to make payment when due. Termination shall not affect accrued rights or obligations.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising out of or in connection with these Terms shall first be resolved through friendly negotiation; failing which it shall be submitted to the competent court at the Company’s place of business.

12. Changes to These Terms

The Company may update these Terms from time to time. The current version will always be published on this page with the effective date shown above. Continued use of the Site or placement of a new order after publication constitutes acceptance of the revised Terms.
